These Terms & Conditions outline the rules, regulations, and legal agreements governing the use of Scalyze Media's website (scalyzemedia.com) and performance marketing services. By accessing our website or engaging Scalyze Media for ad management and performance marketing services, you agree to accept and comply with these terms in full.

1. Scope of Services & Contract Terms

• Month-to-Month Engagement: Scalyze Media operates strictly on a month-to-month basis. There are no long-term locked-in contracts unless explicitly stated in a custom written agreement.
• Services Included: Performance marketing, Meta Ads (Facebook & Instagram) strategy and optimization, ad creative guidance, audience targeting, and campaign analytics.

2. Payments, Advance Retainers & Ad Spend

• 100% Advance Payment: All agency management fees and monthly retainers must be paid 100% in advance before any campaign creation, setup, or launch begins.
• Ad Spend Policy: Ad spend budget is paid directly by the client to advertising platforms (Meta/Google) and is completely separate from Scalyze Media's management fee.
• Non-Payment: Delayed or unpaid retainer invoices will result in immediate suspension of ad management activities.

3. Cancellation & Refund Policy

• Cancellation Notice: Either party can cancel the service by providing a 15-day prior written notice (via official email or WhatsApp).
• Refund Before Ad Activation: If the client requests cancellation BEFORE campaigns go live / ads are activated, a full or partial refund of the management fee may be processed after deducting initial setup effort costs.
• No Refund After Ad Activation: Once ads are active and live on advertising platforms (Meta/Google), no refunds will be provided under any circumstances for agency management fees or ad spend.

4. No Guarantee of Specific ROI / ROAS

• Performance marketing results depend on external variables, including market demand, product quality, pricing, offer appeal, landing page conversion rates, and algorithm updates.
• While Scalyze Media uses industry best practices, we do not guarantee specific sales, revenue figures, ROAS (Return on Ad Spend), or ROI.
• Ad spend deployed on advertising platforms like Meta is non-refundable.

5. Asset Ownership & Agency Access

• Client Ownership: The client retains 100% ownership of their Meta Business Manager, Facebook Pages, Instagram Accounts, domains, ad accounts, and payment methods.
• Agency Access: The client grants Scalyze Media necessary partner/admin access strictly for managing and optimizing campaigns.
• Proprietary Assets: Scalyze Media retains rights over any agency-created strategic frameworks, ad templates, and internal optimization systems.

6. Ad Policy Compliance & Banned Accounts

• Compliance Responsibility: The client is responsible for ensuring that their products, services, landing pages, and business offers fully comply with Meta's Advertising Policies and local laws.
• Platform Restrictions: Scalyze Media is not liable for ad account suspensions, business manager restrictions, or ad rejections enforced by Meta or third-party platforms.

7. Limitation of Liability

To the maximum extent permitted by law, Scalyze Media shall not be liable for any indirect, incidental, or consequential damages (including loss of profits, business interruption, or loss of data) arising from the use of our services or website.

8. Governing Law & Jurisdiction

These Terms & Conditions are governed by the laws of India. Any legal disputes or claims shall be subject to the exclusive jurisdiction of the courts located in Nanded, Maharashtra.
